TERMS OF SPONSORSHIP AND FARM VISIT
Agrecourse is a social impact company made up of people who are passionate about farming and boosting food production in Nigeria. Its operations are funded by donations and contributions from businesses, organizations and individuals. These donations and contributions are applied towards the many expenses associated with farm land lease, seedling, crop planting, fertilizers, harvesting, livestock feeding and project administration.
Your sponsorship is an annual, tax-deductible contribution, for which you maximize financial return and make social impact.
Donations can be made as in-kind contributions in the form of services and/or products; or in monetary form (bank details).
We recognize our sponsors except where they choose to remain anonymous, on our bill boards, banners, brochures and website.
Please read these Terms carefully and seek independent advice when considering making your contributions. We advise you to consider whether sponsoring meets your required risk levels and objectives and commit only funds that you can financially bear the risk of losing considering your other financial commitments.
By using our Platform, you confirm that you have the necessary experience and knowledge to understand the risks involved.
You confirm your agreement to these Terms by registering as a sponsor on our website.
As a Sponsor, you will receive periodic updates on the status of each agricultural project by email. The updates will also be available on your profile on the Platform.
Project Site Visit
You are entitled to a physical visit to your sponsored project, however, at least a 10 days’ notice must be made to firstname.lastname@example.org to enable us make adequate preparation towards the visit. In order to participate in the visit, participants must be current sponsors of a project.
Upon receipt of your contribution, your contribution is immediately applied and therefore unavailable for the entire duration of the project cycle. Your contribution can only be refunded at the completion of a project cycle.
Profits from a successful completed project cycle, contributed to, are remitted to your electronic wallet or bank account. However, for the electronic wallet, you may choose to withdraw your funds and transfer to a bank account provided to us or remit such funds towards sponsoring a new project cycle.
Any profits made from the project will be shared between the Sponsor, the farmer and Agrecourse at a pre-determined rate.
You undertake that you do not own any of the projects and are only entitled to the proceeds of each project cycle you participate in;
That all personal information that you provide about yourself is accurate and true to the best of your knowledge;
That you hold a bank account in Nigeria in your own name and will use this account to transfer money to our account when you sponsor a project and to receive refunds of contributions made and profits earned;
That you are not using any illegal funds or attempting to launder by sponsoring a project.
If you are registering or accepting these Terms on behalf of a legal entity such as a company, trust or partnership, you are legally authorized to do so, and we may request evidence of such authorization; and you are not breaching any laws or regulations that are applicable to you or any company, trust or partnership upon whose instructions you are acting.
Where a Sponsor wishes to contribute in foreign currency, foreign exchange currency rates may have an impact on the profit made on such contribution by the Sponsor. Profits on contribution shall be converted and returned in Naira based on the current Central Bank of Nigeria (CBN) official exchange rate.
These Terms shall be activated on the date you register to sponsor a project with the Company and shall remain valid and binding for as long as you have outstanding sponsored project cycles.
You can terminate these Terms if you have no outstanding sponsored project cycle by providing a Notice of termination in writing to email@example.com
These Terms may be terminated by the Company at any time without notice.
Subject to the Terms of Insurance and any insurance claims settled, the Company has no obligation to reimburse or indemnify you for any cost, loss or liability which you incur as a result of the failure or less of a project yield.
The Company including its agents and contractors shall be held harmless against all liabilities, costs, expenses, damages, penalties and losses whether direct or indirect or consequential, suffered or incurred as a result of:
-fraudulent or illegal use of the Platform, Services or Website
-negligence or any default by you of any of these Terms or any other terms to which you are matched
-inaccurate or incomplete information knowingly provided to us by you
- allowing any other person to access your account either with your permission or as a result of your failure to keep your username and password private
-any service that you have offered, whether with or without our permission, to another third party using our Platform, Services or Website
-any claim made against you for actual or alleged infringement of the Company’s Intellectual Property Rights or any actual or alleged infringement of a third party’s Intellectual Property Rights arising out of or in connection with the Services or use of the Platform
These terms shall be governed by the Laws of the Federal Republic of Nigeria. Any dispute arising out of them which cannot be mutually settled by parties within 30 days shall be referred to arbitration as governed by the Arbitration and Conciliation Act.
The Arbitrator shall be appointed by the Parties. Findings of the Arbitrator and subsequent award shall be binding and enforceable. Each Party shall bear its cost in connection with the Arbitration.
